1. Acceptance of Terms
By downloading, accessing, or using the CLOUDS application ("the App"), you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you may not access the App or use any services provided by CLOUDS.
2. Description of Service
CLOUDS is a digital platform that connects consumers with local spaza shops, farmers, and independent drivers (taxi drivers on existing routes). CLOUDS is not a retailer, nor is it a transportation company. We provide a technological intermediary service to facilitate transactions and deliveries.
3. User Account Registration
To use the platform, you must register for an account and provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Payment and Fees
CLOUDS operates on a commission-based model. We charge a flat commission of 12% on transactions made through the platform. By using the app to purchase goods, you agree to pay all charges incurred by you or any users of your account and credit card (or other applicable payments mechanism) at the prices in effect when such charges are incurred.
5. Independent Contractors
Spaza Shops and Farmers: All merchants listed on CLOUDS are independent contractors, not employees or agents of CLOUDS. They are responsible for the quality, safety, and legality of the products they sell.
Drivers: Drivers leveraging the platform for deliveries are independent contractors. CLOUDS is not responsible for any incidents, accidents, or losses incurred during the delivery process.
6. Prohibited Activities
Users agree NOT to:
- Make illegal or unauthorized purchases.
- Harass, abuse, or threaten delivery drivers or shop owners.
- Attempt to hack, destabilize, or exploit the CLOUDS platform.
- Use the platform for any illicit or fraudulent activities.
7. Termination of Use
We reserve the right, at our sole discretion, to suspend or terminate your account and your access to the Service at any time, for any reason, without notice, and without liability.
